Terms of service

Agreement

These Terms of Service (“Terms”) govern your access to and use of websites, software, and services offered by QApoint Technologies Ltd (“QApoint,” “we,” “us”). By creating an account, using our products, or attending an event powered by QApoint, you agree to these Terms.

If you use the Services on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes the organisation.

The Services

QApoint provides tools for live audience Q&A, moderation, display surfaces, analytics, and related features. We may update or deprecate parts of the Services with reasonable notice where practicable.

Accounts and eligibility

3.1. Registration

You agree to provide accurate information, keep credentials confidential, and promptly notify us of unauthorised access. You are responsible for actions taken through your account.

3.2. Acceptable use

You will not:

  • Violate law or infringe others' rights;
  • Upload malware, attempt to break security, or probe systems without authorisation;
  • Spam, harass, or publish unlawful, hateful, or exploitative content;
  • Scrape or mine the Services except through documented APIs and within rate limits;
  • Misrepresent affiliation with QApoint or resell the Services in breach of your plan.

Customer content

You retain rights to content you submit (“Customer Content”). You grant QApoint a worldwide licence to host, process, display, and distribute Customer Content solely to provide the Services and as described in our Privacy policy. You are responsible for obtaining rights and consents needed for participant data you collect.

Fees and trials

Paid plans, invoices, and renewals are described at checkout or in an order form. Unless stated otherwise, fees are non-refundable and exclusive of applicable taxes. We may suspend access for overdue accounts after notice.

Availability and support

We aim for high availability but do not guarantee uninterrupted service. Support channels and response expectations depend on your plan.

Confidentiality

Each party may receive access to non-public information of the other. The recipient will use reasonable care to protect that information and use it only for the relationship.

Warranty disclaimer

Except where mandatory law requires otherwise, the Services are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, QApoint will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of the Services in any twelve-month period is limited to the amount you paid QApoint for the Services during that period (or fifty USD if no fees applied).

Indemnity

You will defend and indemnify QApoint against claims arising from Customer Content, your misuse of the Services, or your violation of these Terms, subject to QApoint promptly notifying you of the claim and cooperating in defence.

Termination

You may stop using the Services at any time. We may suspend or terminate access for material breach, legal risk, or extended inactivity as permitted by law. Survival sections include confidentiality, disclaimers, limitations, indemnity, and governing law.

Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules, unless mandatory consumer protections in your country say otherwise. Courts in Lagos, Nigeria, have exclusive jurisdiction for business users, unless you are a consumer entitled to a different forum.
